Authentify Terms & Conditions

Please read these Terms & Conditions (“Agreement”, “Terms”) carefully. By submitting your work to Authentify (hereafter “we”, “our”, “us”), you (“you”, “Artist”) expressly agree to be bound by this Agreement. If you do not agree, please do not submit.

1. Definitions

“Submission” means all files, materials, records, and content provided by you including project, backup files, screen recordings, artwork, and references.
“Artwork” means the cover image or visual file submitted for logo stamping.
“Certification” / “Authentification” means the process by which Authentify reviews a Submission and provides verification that work is human-made.
“AI Tools” means any software or service using machine learning, neural networks, or automated algorithms for generation, arrangement, or transformation of musical or sonic content.

2. Representations & Warranties

By submitting, you represent and warrant that:
a. You are the sole creator or have all necessary rights to all content in your Submission, including composition, sound recordings, samples, stems, third-party content.
b. Your Submission does not infringe on any copyright, trademark, privacy, or other rights of any third party.
c. Your Submission is not false or fraudulent. If AI Tools are used, you will declare them truthfully as required.
d. You are of legal age in your jurisdiction to enter into this Agreement or have the consent of a guardian or legal representative.

3. Submission Requirements

Each Submission must include, at minimum:

Native DAW project file.
Backup/autosave file(s) created by your DAW.
Screen recording(s) showing both production and mixing/mastering sessions.
Cover artwork file.
Any additional references or explanatory materials.

Each track must be submitted in its own ZIP file, clearly labeled. Missing, corrupted, or unreadable files may lead to rejection or require resubmission.

4. AI Tool Usage Policy

Use of AI Tools is permitted only as supportive or augmentative to your own creative work (e.g. ideas, sound design, mastering).
You must fully disclose in writing and via screen video any AI Tools used.
Any Submission presented as fully human-made when it is substantially AI-generated will be rejected, and may result in escalated action including revocation of Certification.

5. Copyrights, License & Ownership

You retain full ownership of your work, both musical and visual. Authentify obtains a non-exclusive license to use your Submission solely for purposes of verification, logo stamping, displaying in galleries, and sending back your stamped artwork.
Authentify does not claim ownership or exploit rights beyond what is stated.
You guarantee you have all necessary rights for all components (samples, loops, vocals) in your Submission.

6. Review, Certification, and Rejection

Authentify will review your Submission in its discretion. Certification is granted if your Submission meets these Terms.
If rejected, we will inform you of the reason. You may correct or resubmit, subject to additional fees & review.
We may refuse Certification if material is found non-compliant, misrepresented, or fraudulent.

7. File Retention and Deletion

Authentify will retain Submissions only for the duration of the review and Certification process.
All files will be deleted no later than 30 days after Certification of the track.
After deletion, we cannot restore your files.

8. Fees and Payments

Any fees required for submission or resubmission are set separately. Payment of fees confirms your agreement to this policy.
Fees are non-refundable, including in cases of rejection, false declarations, or misrepresentation.

9. Indemnity and Liability

You agree to indemnify, defend and hold harmless Authentify, its officers, agents, employees, from any losses, damages, or claims arising out of your breach of this Agreement or any intellectual property violation.
Authentify is not liable for lost, corrupted, or mis-sent files.
Under no circumstances will Authentify be liable for incidental, indirect, or consequential damages.

10. Governing Law & Disputes

This Agreement shall be governed by the laws of [Your Jurisdiction / State / Country].
Any dispute arising under this Agreement will be resolved in the courts of [Your Jurisdiction].
If any provision here is found invalid or unenforceable, the remainder shall remain in effect.

11. Modification & Termination

We reserve the right to modify these Terms at any time. Updated Terms will be posted, and your continued use or submission constitutes acceptance.
We may terminate or revoke your Certification if you violate any terms, provide false or misleading info, or fail to comply.
